Please read these Terms and Conditions (“Terms”) carefully before using the website operated by Kyle Milner doing business as Kyle Milner, CPA (“Company”, “we”, “us”, or “our”). By accessing or using the website (the “Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. The website Terms cover public website use only; professional services are governed by a separate engagement letter.

1) Acceptance & Eligibility

  • You must be at least 18 years old to use the Service.
  • By using the Service, you represent that you meet the age requirement and have authority to accept these Terms.

2) Definitions

  • Affiliate: Any entity that controls, is controlled by, or is under common control with a party (“control” means ownership of 50% or more of voting securities or equivalent).

3) Professional Services & No Advice

The Website provides general information only and does not constitute tax, accounting, legal, or other professional advice. Engagements for professional services are governed by a separate signed engagement letter, which controls in the event of any inconsistency with these Terms.

4) Acceptable Use

You agree not to:

  1. Use the Service in violation of any law or regulation.
  2. Attempt to gain unauthorized access to the Service, accounts, or systems.
  3. Interfere with or disrupt the integrity or performance of the Service.
  4. Upload or transmit malicious code, malware, or harmful content.
  5. Infringe intellectual property or privacy rights of others.
  6. Send unsolicited or unauthorized advertising or spam through the Service.

5) Accounts & Security (If Provided)

If we provide a client portal or user account, you agree to:

  • Keep credentials confidential and secure.
  • Notify us promptly of any suspected unauthorized access.
  • Ensure information provided for account setup is accurate and kept up to date.

6) Intellectual Property

All content on the Service (text, graphics, logos, and other materials) is owned by the Company or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Service for lawful, informational purposes. If you submit content, you represent that you have the necessary rights and grant us a non-exclusive license to host and display it solely for operating the Service.

8) Payments & Billing (If Enabled)

If the Website enables invoice payments, processing may be performed by third-party payment processors subject to their terms. Refunds for professional services, if any, are governed by the engagement letter and applicable law.

9) Termination

We may suspend or terminate access to the Service at any time, with or without notice, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

10) Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that information will be accurate, reliable, or complete.

11) Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability for any claim arising out of or relating to the Service is limited to the greater of USD $100 or the amount you paid to the Company for the Service in the 12 months preceding the event giving rise to the claim. To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business interruption.

12) Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.

13) Governing Law & Venue

These Terms are governed by the laws of the State of California, United States, without regard to conflicts of law rules. Exclusive venue lies in the state courts located in Sonoma County, California, or the federal courts in the Northern District of California, as applicable.

14) Export & Sanctions Compliance

You represent and warrant that you are not located in a jurisdiction subject to U.S. embargo or designated as a terrorist-supporting country and that you are not on any U.S. government list of prohibited or restricted parties.

15) Severability & Waiver

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver of any breach or default is a waiver of any subsequent breach or default.

16) Changes to These Terms

We may modify these Terms at any time. For material changes, we will make reasonable efforts to provide at least 30 days’ notice before new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17) Translation

If these Terms are provided in multiple languages, the English version controls in case of conflict.
